As defined by Wikipedia, "Corporate governance is the set of processes, customs, policies, laws and institutions affecting the way a corporation is directed, administered or controlled. Corporate governance also includes the relationships among the many stakeholders involved and the goals for which the corporation is governed. The principal stakeholders are the shareholders, management and the board of directors."
"Key elements of good corporate governance principles include honesty, trust and integrity, openness, performance orientation, responsibility and accountability, mutual respect, and commitment to the organization."
NC VetBiz Board of Directors and Officers believe strongly in building and maintaining a strong Corporate Governance foundation. As part of building and maintaining this foundation, the Association's Board of Directors and Officers will follow the guidelines established in the NC Vetbiz's Articles of Incorporation, By-laws and IRS regulation 501 (c)(3). Accordingly, the Association will be as transparent as possible and make the rules & regulations/policies publicly known, and available for all members to review. At regular meetings, the association will also provide information around the financial statements, and answer questions that the members may have about the Association's activities.
As the association grows and changes, the Board of Directors will continue to monitor the rules & regulations/policies, and make the necessary adjustments to address these changes. Because NC VetBiz is in its infancy stage, and due to its current size, the Association has not adopted or approved any stand alone rules & regulations/policies. NC VetBiz is currently following the framework build into the Association's Articles of Incorporation and By-laws that are available on its website. The Association has also developed some initial control procedures to ensure proper segregation of duties around the Association's cash activities. NC VetBiz's Board of Directors and Officers feel believe that the measures currently taken are adequate, and welcome any questions or suggestions for change.
